Wisdom Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Wish Agency Ltd., trading as Wisdom ("Wisdom", "we", "us", or "our"). They govern your use of the Wisdom platform (accessible via www.clientwisdom.com or app.clientwisdom.com) and related services, collectively referred to as the "Service".

By using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind it to these Terms. If you do not agree, do not use the Service.

1. About Wisdom

Wisdom is a cloud-based SaaS platform developed by Wish Agency Ltd. to support agencies and service businesses in managing clients, time tracking, retainers, projects, and team collaboration. Subscription tiers include:

• ✓ Wise: 1GB storage per user – £8/month
• ✓ Wiser: 3GB storage per user – £14/month
• ✓ Wisdom Pro: 5GB storage per user – £22/month

Annual payments receive a one-month discount. Full feature comparisons are available on our website.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You may assign administrators who can manage users and permissions. You agree to provide accurate information and promptly update it as necessary.

3. Customer Data

You retain all rights to data uploaded to the Service ("Customer Data"). By using Wisdom, you grant us a limited, worldwide, royalty-free licence to host, store, process and display your Customer Data solely for providing the Service.

You are solely responsible for ensuring you have the necessary permissions to use and submit Customer Data. Do not upload data classified as sensitive under Article 9(1) GDPR, HIPAA, PCI DSS, or similar regulations unless otherwise agreed in writing.

4. Storage Limits

Storage limits apply per user:

• • Wise: 1GB
• • Wiser: 3GB
• • Wisdom Pro: 5GB

Exceeding these limits may result in restricted functionality or additional fees. We may contact you to upgrade or enforce limits if usage is excessive.

5. Pricing and Billing

5.1 Subscription Fees

Fees are charged monthly or annually in GBP, depending on your chosen plan. Billing is processed securely via our third-party payment provider, currently Stripe.

5.2 Free Trials and Refunds

New users may access a 30-day free trial. Subscriptions cancelled within this period will not be charged. Refunds are not issued for partial months unless required by law.

5.3 Price Adjustments

We reserve the right to change our pricing. If we do:

• • We will provide at least 60 days' written notice.
• • Your subscription will update to the new pricing automatically at the end of the notice period unless you cancel.

5.4 Auto-Renewal

All subscriptions auto-renew unless cancelled. To prevent renewal, cancel via your account before the current term ends.

6. Modifications to the Service

We may add, modify, or remove features at our discretion. Where changes materially affect functionality, we will provide notice via email or in-app alerts.

7. Limitation of Liability

To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with these Terms, the Service, and any related third-party services, shall not exceed the total subscription fees paid by you in the six (6) months preceding the event giving rise to the liability.

We shall not be liable for any loss of profits, revenue, business opportunity, or goodwill, nor for any indirect, special, incidental, punitive or consequential losses of any kind.

We shall not be liable for any data loss, corruption, or destruction, except to the extent caused by our gross negligence or wilful misconduct.

8. Termination

You may cancel your subscription at any time. Your access will continue until the end of the current billing cycle. We may suspend or terminate accounts for violation of these Terms or non-payment.

Upon termination, you are responsible for exporting your Customer Data. After account deletion, your data will no longer be accessible.

9. Intellectual Property

All platform content, software and branding remain the property of Wisdom (Wish Agency Ltd.). You are granted a non-exclusive, non-transferable right to use the Service during your active subscription.

10. Third-Party Integrations

Wisdom integrates with third-party tools (e.g. calendars, CRMs, project management software). Your use of those services is governed by their respective terms. We are not liable for their actions, content, or data practices.

11. Global Use & Regional Terms

These Terms apply under UK law. For global users:

• • We may issue separate regional terms for jurisdictions such as the USA, EU, or Middle East, addressing local legal, tax and data requirements.
• • US users agree to jurisdiction in Delaware and arbitration under AAA Rules, unless otherwise stated in regional terms.

12. Amendments

We may update these Terms to reflect legal, technical or commercial changes. We will notify users of material updates. Continued use of the Service after the effective date constitutes acceptance.
